Welcome to Stemio. These Terms of Service (“Terms”) govern your use of the Stemio website, platform, and services (the “Service”). By accessing or using Stemio, you agree to be bound by these Terms.
If you do not agree, do not use the Service.
1. Description of Service
Stemio is a workflow automation platform that allows users to upload audio stem files and generate alternate mixes, cutdowns, and file deliverables. Stemio is a technical processing tool only and does not create, own, license, distribute, or claim any rights in user-submitted content.
2. User Ownership and Responsibility
You retain all ownership rights to the content you upload. However, by uploading content, you represent and warrant that:
- You own or have full legal rights, licenses, and permissions to use, process, and upload the content.
- The content does not infringe any copyright, trademark, contract, or other legal rights.
- You have the authority to grant Stemio the limited rights necessary to process the files.
You are solely responsible for verifying that you have proper authorization for all uploaded stems and audio materials.
3. License to Process Content
You grant Stemio a limited, non-exclusive, revocable license to store, process, transform, and render your uploaded files solely for the purpose of providing the Service. Stemio does not use your content for any other purpose.
4. No Monitoring Obligation
Stemio is not responsible for monitoring user content and does not review files for copyright ownership. Stemio operates as a passive technical processor under applicable laws.
5. Copyright Infringement & DMCA
Stemio complies with the Digital Millennium Copyright Act (DMCA). If you believe content processed through Stemio infringes your rights, you may submit a takedown request to: support@stemio.io
Stemio will promptly remove or disable access to allegedly infringing material upon proper notice. See our full DMCA Policy for details.
6. Prohibited Use
You agree not to use Stemio to:
- Upload unauthorized or infringing materials
- Violate contracts, publishing agreements, or licensing agreements
- Distribute illegal content
- Reverse engineer, misuse, or exploit the platform
Violation may result in account termination.
7. Limitation of Liability
Stemio shall not be liable for:
- Copyright infringement caused by user uploads
- Loss of data, revenue, or business interruption
- Misuse of files delivered through the platform
You agree that Stemio's total liability is limited to the amount you paid for the Service in the last 3 months.
8. Indemnification
You agree to indemnify and hold harmless Stemio, its owners, employees, and partners from any claims, damages, losses, or legal fees arising from:
- Your uploaded content
- Your misuse of the platform
- Any infringement claims related to your files
9. Account Termination
Stemio reserves the right to suspend or terminate accounts suspected of violating these Terms or engaging in unlawful activity.
10. Data Storage and Security
Stemio uses industry-standard storage and security practices. However, users are responsible for maintaining backups of important files.
11. Modifications to Service and Terms
Stemio may modify these Terms or the Service at any time. Continued use constitutes acceptance of updated Terms.
12. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
